Important Note : This document is the legal agreement between you and Kamtech KPO Park Ltd. (hereinafter referred to as "KKPL").It grants certain rights and imposes certain obligations on you in connection with your use of the “links” (hereinafter referred to as the "link") on the website www.kpopark.com for the purposes of accessing the Information/Research and Analysis on Projects posted through KKPL. You should read this document carefully and only accept its terms if you understand and agree with them. KKPL has exclusive and sole discretion to select the customers who would be entitled to access and use the Service. KKPL shall have sole discretion to alter, modify, withdraw or suspend the Service (whether partly or wholly). The Service is provided on an "As Is" basis (As Is basis would mean - As it is displayed on the site). KKPL and their Affiliates disclaim any warranty of any kind, whether express or implied, as to any matter whatsoever relating to the Service, including without limitation the warranties of merchantability, fitness for a particular purpose, and non infringement. Use of the Service shall be at your sole risk. KKPL shall not be liable for non-availability or delay in the Service through the Site.

Eligibility criteria for joining KKPL as an Entrepreneur Member: As an entrepreneur member, you are to be a shareholder of the Special Purpose Vehicle Company (SPV), KKPL, and, you will have your own enterprise in the KPO Park which is to offer you ready-to-use plug-and-play facilities to start the KPO business in your chosen field. KKPL, will endeavour to extend support through markets, orders and continuous flow of regular assignments. However, KKPL does not guarantee such orders / assignments. Accordingly, KKPL cannot be held responsible and or liable in any way if orders / assignments are not forthcoming. You are to compulsorily purchase 15,000 shares of the SPV Company, KKPL. The face value of each share is Indian Rs.10; and, the present premium thereon is Indian Rs.25. Hence, the on - date investment by you as an entrepreneur member would be Indian Rs.525,000 towards the 15,000 shares which are to be allotted to you. Additionally, you are required to make a non-refundable Registration and Development Charges payment of Indian Rs.350,000 to the SPV Company, KKPL, for availing the plug - and - play facilities at the KPO Park premises. You would also be required to pay the monthly recurring expenses on a sharing basis for common facilities including charges for electricity; water; telephone; internet; security; maintenance; marketing; etc.. Note: The decision to accept or reject any or all application(s) of Entrepreneur Member is the sole prerogative of KKPL; KKPL is not bound to give any reasons and or explanations for the acceptance / rejection of any application(s). In case of rejection of any application(s), KKPL will arrange to refund the said Shares Application amount of Indian Rs.525,000; and, also the Registration and Development Charges amount of Indian Rs.350,000 to the respective applicant(s) after deducting 2% as Service Charges. No interest amount is payable by KKPL on the amount(s) so refunded.

Force Majeure clause : KKPL shall not be liable for any failure to perform its obligations where such failure is as a result of Acts of Nature (including fire, flood, earthquake, storm, hurricane or other natural disaster), war, invasion, act of foreign enemies, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labour dispute, strike, lockout or interruption or failure of electricity [or telephone / internet service], and no other Party will have a right to terminate this Agreement under Termination Clause in such circumstances. Where software or data is distributed by KKPL using electronic distribution methods, including, but not limited to, telephone lines, cable, ISDN, or ADSL, via the world wide web, Internet, secure telephone connection, or via any other electronic, terrestrial, or non terrestrial distribution channel, KKPL can not be held responsible for delays, breakdowns, interruptions, or corruption or loss of integrity of any part of the software or data, that might arise by using such distribution methods.

Password Use : You shall be solely authorized to use the Password, and shall be responsible at all times for exercising security controls over the Password. You agree to refrain from distributing the Password in any manner. KKPL shall not be liable for any damages arising from any unauthorized use or sharing of your Password. If your Password is stolen, or if your security becomes otherwise compromised, please contact KKPL immediately.

Changes to Terms and Conditions : KKPL reserves the right to make any changes to these terms and conditions at any time. Should KKPL wish to do so, it will endeavour to notify you of these proposed changes, and you will be asked to accept these changes. If you do not wish to accept any such proposed changes, KKPL reserves the right to deny you access to the Site. Miscellaneous : KKPL may terminate this agreement at any time with or without notice to you, in which case you will no longer be able to access the Site. If a competent authority finds that any or part of these terms and conditions are invalid, unlawful or unenforceable to any extent, KKPL shall delete or replace the relevant terms and remaining terms and conditions shall continue to be valid and enforceable to the fullest extent permitted by Indian Law. No act, omission or delay by KKPL shall be a waiver of its rights or remedies under these terms and conditions or at law unless otherwise agreed in writing by KKPL. KKPL may assign, subcontract or transfer all or any of its rights and obligations under these terms and conditions (including to KKPL’s successors or assigns, any of KKPL’s Affiliates or their successors or assigns located anywhere in the world) without requiring further consent from you, and upon such assignment, sub-contracting or transfer, KKPL may be relieved of any further obligation to you under them. To the extent required and at KKPL’s reasonable request, you agree to do anything reasonably necessary or beneficial to give effect to such assignment, sub-contracting or transfer. A person who is not a party to these terms and conditions (other than an affiliate or nominee of KKPL) shall have no right to enforce them.

Governing Laws : These terms and conditions and your relationship with KKPL is governed in accordance with the laws of India, without regard to the laws regarding conflicts of law.

Competent Courts: The Competent Courts of Jaipur (Rajasthan, India) shall have exclusive jurisdiction over any dispute arising out of your use of the Site or arising from or connected with this agreement and you hereby submit to the jurisdiction of such.

Accordingly, KKPL cannot be held responsible and or liable in any way if orders / assignments are not forthcoming. You are to make a non-refundable fees deposit of Indian Rs.10,000 ,or, US $ 250 to the SPV Company, KKPL. Note: The decision to accept or reject any or all application(s) of Professional / Individual Member is the sole prerogative of KKPL; KKPL is not bound to give any reasons and or explanations for the acceptance / rejection of any application(s). In case of rejection of any application(s), KKPL will arrange to refund the said fees deposit amount of Indian Rs.10,000 or US$ 250 to the respective applicant(s) after deducting 2% as Service Charges. No interest amount is payable by KKPL on the amount(s) so refunded.

Force Majeure clause : KKPL shall not be liable for any failure to perform its obligations where such failure is as a result of Acts of Nature (including fire, flood, earthquake, storm, hurricane or other natural disaster), war, invasion, act of foreign enemies, hostilities (whether war is declared or not), civil war, rebellion, revolution, insurrection, military or usurped power or confiscation, terrorist activities, nationalization, government sanction, blockage, embargo, labour dispute, strike, lockout or interruption or failure of electricity [or telephone / internet service], and no other Party will have a right to terminate this Agreement under Termination Clause in such circumstances. Where software or data is distributed by KKPL using electronic distribution methods, including, but not limited to, telephone lines, cable, ISDN, or ADSL, via the world wide web, Internet, secure telephone connection, or via any other electronic, terrestrial, or non terrestrial distribution channel, KKPL can not be held responsible for delays, breakdowns, interruptions, or corruption or loss of integrity of any part of the software or data, that might arise by using such distribution methods.

Password Use : You shall be solely authorized to use the Password, and shall be responsible at all times for exercising security controls over the Password. Competent Courts: The Competent Courts of Jaipur (Rajasthan, India) shall have exclusive jurisdiction over any dispute arising out of your use of the Site or arising from or connected with this agreement and you hereby submit to the jurisdiction of such.
